Terms of Service

1. About KATXY

KATXY evaluates completed fiction manuscripts and provides structured manuscript intelligence for publishing decisions.

A KATXY evaluation may include:

• a KATXY Score;
• a Manuscript Intelligence Report;
• analytical findings and classifications;
• structural and craft analysis;
• genre and audience analysis;
• comparable landscape analysis;
• commercial positioning analysis;
• revision outlook;
• submission readiness analysis; and
• publishing campaign strategy.

KATXY is an evaluation product.

KATXY is not a literary agency, publisher, editor, legal adviser, financial adviser, investment adviser, or representative of any author, literary agent, publisher, or other user.

2. Eligibility

You must be at least 18 years old to create an account, purchase an evaluation, or submit a manuscript to KATXY.

By using KATXY, you represent that you are legally capable of entering into these Terms.

If you use KATXY on behalf of an organisation or another rights holder, you represent that you have authority to act on their behalf.

3. Your Account

You are responsible for:

• providing accurate account information;
• maintaining the confidentiality of your login credentials;
• activity conducted through your account; and
• notifying KATXY if you believe your account has been accessed without authorisation.

You may not impersonate another person, create an account using information you are not authorised to use, or use KATXY for fraudulent or unlawful purposes.

KATXY may take reasonable steps to protect accounts and the service where suspicious or unauthorised activity is detected.

4. Manuscript Submissions

KATXY is designed to evaluate completed fiction manuscripts.

By submitting a manuscript, you confirm that:

• you own the manuscript or have sufficient authority to submit it;
• you are authorised to permit KATXY to process it for the requested evaluation;
• your submission does not knowingly infringe another person's copyright, confidentiality, privacy, contractual, or other legal rights; and
• you are not submitting material in violation of any legal obligation owed to another person.

You retain ownership of your manuscript.

Submitting a manuscript to KATXY does not transfer copyright, publishing rights, adaptation rights, merchandising rights, or any other ownership rights in the manuscript to KATXY or Celsius 233.

5. Permission to Process Your Manuscript

By submitting a manuscript, you grant KATXY a limited permission to process the manuscript as reasonably necessary to:

• perform the evaluation you requested;
• generate the KATXY Score;
• generate the Intelligence Report;
• operate the evaluation process;
• maintain the security and integrity of the service; and
• provide the resulting evaluation to you.

This permission is limited to providing and operating the KATXY service and does not transfer ownership of the manuscript.

Manuscript processing and retention are also governed by the KATXY Privacy Policy.

6. KATXY Does Not Edit Manuscripts

KATXY does not write, rewrite, line edit, proofread, or generate replacement manuscript content.

A KATXY evaluation may identify:

• strengths;
• weaknesses;
• structural issues;
• commercial pressures;
• revision pressures;
• positioning issues;
• preservation priorities; or
• areas that may warrant further attention.

These observations do not require an author to revise the manuscript.

Decisions about whether, how, and to what extent a manuscript should be changed remain with the author and the people working with them.

7. The KATXY Score

The KATXY Score is a standardized, point-in-time assessment of the manuscript submitted for evaluation.

The Score summarises KATXY's structured evaluation and should be interpreted together with the Intelligence Report.

A KATXY Score is not:

• a grade of the author;
• a definitive measure of artistic quality;
• an industry certification;
• a guarantee of literary representation;
• a guarantee of publisher acquisition;
• a guarantee of publication;
• a sales forecast;
• a guarantee of commercial success;
• a prediction of reader response;
• a prediction of bestseller status;
• a prediction of awards; or
• a prediction of adaptation.

Publishing outcomes depend on many factors outside KATXY's control, including human judgment, market conditions, timing, execution, positioning, distribution, marketing, readership, and individual preferences.

8. Intelligence Reports

The KATXY Intelligence Report provides the analysis, evidence, interpretation, and context behind the KATXY Score.

A report may contain observations relating to:

• manuscript structure and craft;
• genre and readership;
• market context;
• comparable titles;
• commercial positioning;
• revision outlook;
• submission readiness; and
• publishing campaign strategy.

Reports are intended to support publishing-related decisions.

They do not replace the judgment of authors, literary agents, publishers, editors, marketers, lawyers, accountants, or other professionals.

Different people may reasonably interpret the same manuscript differently.

9. Revised Manuscripts

A revised manuscript may be submitted for another KATXY evaluation.

Each evaluation is treated as a new point-in-time assessment of the manuscript submitted for that analysis.

KATXY does not guarantee that a revised manuscript will receive a higher, lower, or similar Score to an earlier evaluation.

KATXY does not need to identify or compare a manuscript with a previous submission in order to evaluate it.

10. Sharing Reports

You may choose to share your KATXY Score or Intelligence Report with other people, including literary agents, publishers, editors, or other publishing professionals.

You are responsible for deciding with whom you share your report.

Once you voluntarily provide a report to another person, KATXY may not be able to control how that recipient stores, uses, copies, or further shares it.

KATXY does not make a private report public merely because it has been generated.

11. Prices and Payments

The price applicable to a KATXY evaluation will be shown to you before you complete payment.

By purchasing an evaluation, you agree to pay the amount displayed at checkout together with any applicable taxes or charges.

Payments may be processed by third-party payment providers.

KATXY does not store complete payment-card or bank-account credentials.

KATXY may retain transaction information necessary to:

• confirm payment;
• provide the purchased service;
• process refunds;
• maintain accounting records;
• prevent fraud; and
• comply with tax or legal obligations.

12. Refunds

Because a KATXY evaluation uses computational resources and manuscript processing may begin shortly after payment, refund eligibility depends on whether the evaluation has started.

If you request cancellation before the evaluation begins, you may request a full refund.

Once manuscript analysis has begun, the evaluation is generally non-refundable.

If KATXY is unable to complete a purchased evaluation because of a technical failure attributable to KATXY, KATXY may, as appropriate:

• rerun the evaluation at no additional charge; or
• issue a refund for the affected evaluation.

Verified duplicate or erroneous charges will be refunded.

Nothing in this section limits refund, cancellation, or consumer rights that cannot lawfully be excluded under applicable law.

Refund requests may be sent to saurabh@katxy.com together with the email address associated with the purchase and relevant transaction details.

13. Evaluation Timing

Any evaluation time shown by KATXY is an estimate and not a guaranteed completion deadline.

Processing time may vary depending on factors including:

• manuscript length;
• manuscript complexity;
• system demand;
• technical conditions;
• service-provider availability; and
• temporary infrastructure issues.

KATXY will make reasonable efforts to complete purchased evaluations successfully.

14. Artificial Intelligence and Automated Analysis

KATXY uses artificial intelligence and automated systems as part of its manuscript-evaluation process.

AI-generated analysis can be imperfect.

KATXY does not guarantee that every:

• observation;
• classification;
• comparable;
• interpretation;
• assessment;
• recommendation; or
• analytical conclusion

will be free from error.

Users should exercise their own judgment when relying on KATXY outputs.

KATXY does not use submitted manuscripts as datasets to train or fine-tune its models.

Manuscripts are processed for the purpose of providing the requested evaluation.

15. Manuscript Handling

Unpublished manuscripts are treated as valuable narrative intellectual property.

The uploaded manuscript is used to perform the requested evaluation.

After the evaluation has been completed, the uploaded manuscript file is deleted rather than retained as part of the completed report.

The resulting KATXY Score, Intelligence Report, and related evaluation information may remain available through the user's account.

16. Acceptable Use

You may not use KATXY to:

• violate applicable law;
• infringe intellectual-property rights;
• submit material you do not have authority to submit;
• access another user's account without permission;
• attempt to gain unauthorised access to KATXY systems;
• interfere with the security or operation of the service;
• bypass or circumvent technical protections;
• abuse, overload, or disrupt the service through automated activity;
• introduce malicious software or code;
• commit fraud;
• misrepresent your identity or authority;
• extract or reproduce proprietary KATXY systems or methodologies in violation of law; or
• use KATXY in a manner intended to harm KATXY, Celsius 233, its users, or third parties.

KATXY may restrict, suspend, or terminate access where reasonably necessary to protect the service or enforce these Terms.

17. KATXY Intellectual Property

KATXY and Celsius 233 retain their rights in the KATXY service and associated materials, including:

• the KATXY name and branding;
• website and application design;
• software;
• evaluation frameworks;
• scoring systems;
• report structures;
• proprietary methodologies;
• interfaces;
• documentation; and
• KATXY-created content.

Your ownership of your manuscript is not affected by this provision.

You may use the KATXY Score and Intelligence Report generated for your manuscript for your own personal or professional publishing purposes, including sharing them with relevant publishing professionals.

Nothing in these Terms grants you ownership of KATXY's underlying software, scoring methodology, evaluation framework, or proprietary systems.

18. Third-Party Services

KATXY relies on third-party service providers for functions that may include:

• cloud infrastructure;
• artificial-intelligence processing;
• data storage;
• database services;
• payment processing;
• website hosting;
• email delivery;
• security;
• monitoring; and
• analytics.

KATXY is not responsible for interruptions, failures, or service limitations caused solely by third-party services outside KATXY's reasonable control.

Third-party services may also be governed by their own terms and privacy policies.

19. Service Availability

KATXY aims to provide a reliable service, but continuous, uninterrupted, or error-free access cannot be guaranteed.

The service may occasionally be unavailable because of:

• scheduled or emergency maintenance;
• technical problems;
• security incidents;
• infrastructure failures;
• third-party outages;
• internet or network disruption; or
• circumstances outside KATXY's reasonable control.

KATXY may modify, suspend, replace, or discontinue features where reasonably necessary.

Where a paid evaluation is materially affected, the refund and rerun provisions in these Terms will apply as appropriate.

20. No Publishing Guarantee

KATXY provides manuscript intelligence.

KATXY does not control decisions made by:

• literary agents;
• publishers;
• editors;
• booksellers;
• distributors;
• retailers;
• reviewers;
• readers;
• award organisations;
• film or television producers; or
• other participants in the publishing and entertainment industries.

Using KATXY does not create a literary-agency, publishing, editorial, employment, partnership, joint-venture, fiduciary, or professional-advisory relationship between you and KATXY or Celsius 233.

21. Disclaimer of Warranties

To the extent permitted by applicable law, KATXY is provided on an "as available" basis.

KATXY does not warrant that:

• the service will always be available, uninterrupted, or error-free;
• every analytical conclusion will be correct;
• every comparable or market observation will remain current;
• any particular KATXY Score will be achieved;
• a revised manuscript will receive a different Score;
• use of KATXY will lead to representation;
• use of KATXY will lead to publisher acquisition;
• use of KATXY will lead to publication;
• use of KATXY will generate sales or revenue; or
• any particular publishing or commercial outcome will occur.

Nothing in these Terms excludes warranties, protections, or consumer rights that cannot lawfully be excluded.

22. Limitation of Liability

To the extent permitted by applicable law, KATXY and Celsius 233 will not be liable for indirect, incidental, special, consequential, exemplary, or similar losses arising from or related to your use of KATXY.

This includes, where legally permitted, losses relating to:

• lost publishing opportunities;
• lost representation opportunities;
• lost acquisition opportunities;
• lost profits;
• lost revenue;
• lost business opportunities;
• decisions made using a KATXY evaluation; or
• actions taken by third parties after receiving a shared report.

Where liability cannot lawfully be excluded, the aggregate liability of KATXY and Celsius 233 arising from a particular purchased evaluation will not exceed the amount paid for that evaluation, except where applicable law requires otherwise.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

23. Suspension and Termination

KATXY may suspend or terminate access to the service where reasonably necessary because of:

• a material violation of these Terms;
• fraud or suspected fraud;
• unlawful use;
• security risks;
• abusive use;
• unauthorised access;
• misuse of the service; or
• failure to pay amounts properly due.

You may stop using KATXY at any time.

Termination does not affect rights, payments, responsibilities, or obligations that arose before termination.

Provisions that by their nature should survive termination will continue to apply.

24. Privacy

The collection, processing, use, storage, and deletion of personal information are governed by the KATXY Privacy Policy.

The Privacy Policy also explains how KATXY handles manuscript content, account information, reports, technical information, and other data associated with the service.

25. Changes to These Terms

KATXY may update these Terms as the service, technology, business, or applicable legal requirements change.

When material changes are made, the updated Terms will be published on katxy.com.

Where appropriate, additional notice may also be provided.

Your continued use of KATXY after updated Terms take effect constitutes acceptance of the updated Terms where permitted by applicable law.

26. Governing Law and Disputes

These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Any dispute arising from or relating to KATXY or these Terms will be subject to the jurisdiction of the competent courts in India, except where applicable consumer-protection or other mandatory law gives you the right to bring a claim in another jurisdiction.

Nothing in these Terms limits rights or remedies that cannot lawfully be excluded under applicable Indian law.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

The affected provision will be interpreted or limited only to the extent necessary to make it enforceable where legally possible.

28. Entire Agreement

These Terms, together with the KATXY Privacy Policy and any additional terms expressly presented to you in connection with a specific purchase or service, form the agreement governing your use of KATXY.

If there is a conflict between these Terms and a specific term expressly presented during a transaction, the more specific term will apply to that transaction to the extent of the conflict.
